Chief Legal Officer (CLO) / Legal Counsel - Prytek

<p><strong>London (Hybrid - Remote Flexibility Available) | Full-time</strong></p><p style="min-height: 1.7em;"></p><p>The Chief Legal Officer (CLO) / Legal Counsel leads the Group's legal function and acts as a trusted advisor to the Founder, senior management team, and investment team. This role combines strategic deal advisory across M&amp;A, investments and corporate structuring, with responsibility for corporate governance, compliance, risk management and hands-on legal support across a diverse international portfolio of businesses.</p> <br> <p class="x_MsoNormal" style="text-align:start;"><strong>Key Responsibilities</strong></p><ul><li><p>Lead legal execution of M&amp;A and investment transactions: due diligence, structuring, term sheets, SPA/SHA, and closing.</p></li><li><p>Structure holding and investment vehicles (including fund/SPV structures), accounting for cross-jurisdictional and tax considerations.</p></li><li><p>Oversee corporate governance for the Group and portfolio companies: boards, corporate policies, cap tables, and option plans (ESOP).</p></li><li><p>Manage external legal counsel across jurisdictions and control the legal spend budget.</p></li><li><p>Handle commercial contracts: partnerships, suppliers.</p></li><li><p>Own compliance and regulatory matters (including financial licensing, GDPR/data protection, and AML where applicable).</p></li><li><p>Manage risk, disputes, and litigation.</p></li><li><p>Support fundraising and act as the legal point of contact for investors.</p></li></ul><p class="x_MsoNormal" style="text-align:start;">&nbsp;</p><p class="x_MsoNormal" style="text-align:start;"><strong>Requirements</strong></p><ul><li><p>Qualified lawyer with a current practising certificate in England &amp; Wales.</p></li><li><p>Extensive post-qualification experience, including a proven track record leading complex M&amp;A transactions and operating as a senior legal adviser to executive leadership teams.</p></li><li><p>Proven track record of cross-border transactions and working within an international structure.</p></li><li><p>Strong deal-structuring and corporate law expertise.</p></li><li><p>Fluent English, Hebrew is a plus.</p></li><li><p>Ability to work at pace and independently manage multiple concurrent transactions.</p></li></ul><p style="min-height: 1.7em;"></p><p class="MsoNormal"><strong>Who We Are:</strong><br>Prytek is a multinational technology group focused on building and investing in technology businesses while delivering managed services across the Financial Services, Cybersecurity, Technology Education and HR sectors.</p><p>Since its launch in 2017, Prytek has invested more than $350 million to acquire, build and develop deep technology businesses.
