The successful candidate will manage corporate entity governance activities across multiple jurisdictions, assist with commercial contract review and administration, support regulatory and compliance initiatives, and serve as a trusted resource for lawyers and business stakeholders.&lt;/p&gt; &lt;p&gt;This is a hands-on role requiring strong organizational skills, sound judgment, attention to detail, and the ability to work independently in a fast-paced global environment.&lt;/p&gt; &lt;h2&gt;&lt;span style=&quot;color: #236fa1;&quot;&gt;Required Skills&lt;/span&gt;&lt;/h2&gt; &lt;p&gt;A successful candidate will be able to:&lt;/p&gt; &lt;ul&gt; &lt;li&gt;Manage the day-to-day administration of Verifone&#39;s global portfolio of legal entities, with a focus on EMEA entities.&lt;/li&gt; &lt;li&gt;Coordinate annual corporate maintenance requirements, including director and officer appointments, board and shareholder approvals, statutory filings, powers of attorney, and corporate recordkeeping.&lt;/li&gt; &lt;li&gt;Liaise with corporate secretarial service providers and internal stakeholders regarding governance matters.&lt;/li&gt; &lt;li&gt;Maintain corporate records, minute books, organizational charts, and entity management databases.&lt;/li&gt; &lt;li&gt;Support legal entity formations, restructurings, mergers, liquidations, and other corporate transactions.&lt;/li&gt; &lt;li&gt;Review, draft, and negotiate routine commercial agreements under attorney supervision, including: &lt;ul&gt; &lt;li&gt;Non-disclosure agreements (NDAs)&lt;/li&gt; &lt;li&gt;Vendor agreements&lt;/li&gt; &lt;li&gt;Customer forms and standard commercial contracts&lt;/li&gt; &lt;li&gt;Amendments, renewals, and statements of work&lt;/li&gt; &lt;/ul&gt; &lt;/li&gt; &lt;li&gt;Support implementation and administration of contract lifecycle management processes.&lt;/li&gt; &lt;li&gt;Coordinate legal requests and inquiries from internal business partners.&lt;/li&gt; &lt;li&gt;Contribute to process improvements that enhance the efficiency and effectiveness of the legal function.&lt;/li&gt; &lt;/ul&gt; &lt;h2&gt;&lt;span style=&quot;color: #236fa1;&quot;&gt;Required Experience and Qualifications&lt;/span&gt;&lt;/h2&gt; &lt;p&gt;A successful candidate will have:&lt;/p&gt; &lt;ul&gt; &lt;li&gt;Minimum of 10 years of paralegal, corporate governance, legal operations, or related legal experience.&lt;/li&gt; &lt;li&gt;Experience supporting corporate entities across multiple jurisdictions.&lt;/li&gt; &lt;li&gt;Strong familiarity with corporate governance requirements and entity management practices.&lt;/li&gt; &lt;li&gt;Experience reviewing and administering NDAs and other routine commercial agreements.&lt;/li&gt; &lt;li&gt;Excellent organizational and project management skills.&lt;/li&gt; &lt;li&gt;Ability to manage multiple priorities and deadlines with minimal supervision.&lt;/li&gt; &lt;li&gt;Strong written and verbal communication skills in English.&lt;/li&gt; &lt;li&gt;High attention to detail and commitment to accuracy.&lt;/li&gt; &lt;li&gt;Proficiency with AI tools, Microsoft Office applications, and legal technology tools.&lt;/li&gt; &lt;li&gt;Experience working in a multinational or international company with operations across Europe and other regions.&lt;/li&gt; &lt;/ul&gt; &lt;h2&gt;&lt;span style=&quot;color: #236fa1;&quot;&gt;Our Commitment&lt;/span&gt;&lt;/h2&gt; &lt;p&gt;Verifone is committed to creating a diverse environment and is proud to be an equal opportunity employer.
